LEXAZONE PLATFORM TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the Lexazone platform (“Platform”) operated by Lexazone, Inc. (“Lexazone,” “we,” “us”).

By creating an account, uploading content, or using the Platform, you (“Creator” or “Author”) agree to be bound by these Terms.

If you do not agree, do not use the Platform.

1. The Lexazone Service

Lexazone is a publishing and distribution platform that enables creators to submit written works and related content for publication, monetization, and distribution through Lexazone and its partners.

2. Eligibility

You must:

  • Be at least 18 years old
  • Have full legal capacity to enter into these Terms
  • Own or control all rights to the content you submit

3. Content You Submit

You may submit books, written works, and related materials (“Works”).

You remain the copyright owner of your Works.

4. Content Policy and Ratings

You are solely responsible for the content you submit and must ensure it complies with our policies and all applicable laws.

  • Accurate Ratings: You must accurately self-rate your Work according to the content rating guidelines provided on the Platform. Mislabeling content, particularly failing to identify mature or explicit material, is a serious violation of these Terms.
  • Prohibited Content: You may not submit any Work that is illegal, fraudulent, or violates the rights of others. This includes, but is not limited to, content that is defamatory, obscene, harassing, or infringes on intellectual property rights.
  • Enforcement: Lexazone reserves the right to review any Work and take appropriate action in its sole discretion. Misleading ratings may result in content re-labeling, temporary payment holds, or other penalties. The submission of illegal content will result in immediate removal of the Work and permanent suspension of your account.

5. License Granted to Lexazone

By submitting a Work, you grant Lexazone a non-exclusive, worldwide, royalty-bearing license to:

  • Publish, reproduce, distribute, display, perform, promote, market, and sell the Work
  • Create excerpts, clips, previews, and derivative formats
  • Use the Work in digital, print, audio, video, and future media
  • Distribute through Lexazone and third-party channels

This license continues until your Work is removed or these Terms are terminated.

6. Revenue Share

Revenue generated from your Work will be shared as follows:

  • 40% to you (Author)
  • 60% to Lexazone

“Net Revenue” means amounts actually received by Lexazone minus platform fees, payment processing fees, refunds, chargebacks, taxes, and similar third-party costs.

Payments are made [monthly/quarterly] within [30/60] days after the end of each period.

7. Subsidiary Rights

Subsidiary rights include translation, audiobook, film/TV, adaptation, serialization, and derivative rights.

Net revenue from subsidiary rights is shared 50% Author / 50% Lexazone, unless otherwise agreed in writing.

8. Editorial and Platform Control

Lexazone controls:

  • Editing, formatting, pricing, metadata, and presentation
  • Cover design and packaging
  • Distribution channels and marketing strategy

We may consult you but are not required to obtain approval.

9. Creator Warranties

You represent and warrant that:

  • Your Work is original
  • You own or control all rights necessary to submit it
  • The Work does not infringe copyright, trademark, privacy, or publicity rights
  • The Work is not defamatory, unlawful, or misleading
  • The Work is not licensed in conflict with these Terms

10. Indemnification

You agree to indemnify, defend, and hold harmless Lexazone and its officers, directors, employees, and partners from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your breach of these Terms
  • Intellectual property infringement claims
  • Defamation, privacy, or publicity claims
  • Your violation of applicable law

Lexazone may control the defense and settlement of any claim.

11. Payment Withholding and Offset

If Lexazone reasonably believes you have breached these Terms or may incur indemnification obligations, we may:

  • Withhold payments
  • Offset amounts owed against future earnings
  • Recover amounts previously paid relating to the breach

12. Takedown and Suspension

Lexazone may immediately remove, suspend, or disable access to any Work if:

  • A legal complaint or claim is received
  • A breach is suspected
  • Continued distribution poses legal or reputational risk

Notice may be provided afterward when appropriate.

13. First-Look Option

You grant Lexazone a first-look option on your next book-length work.

  • Lexazone has 30 days to review
  • If declined or no response is given, you may publish elsewhere

14. Non-Compete

While your Work is active on Lexazone, you may not publish or license a work that is:

  • Substantially similar in content, theme, or purpose
  • Directly competitive with the Work
  • Intended to replace or diminish demand for the Work

This restriction applies only to competing works, not unrelated content.

15. Termination

Either party may terminate these Terms upon:

  • Material breach not cured within 30 days after written notice
  • Mutual agreement
  • Discontinuation of the Work by Lexazone

Immediate Termination

Lexazone may terminate immediately for:

  • Fraud or intentional misrepresentation
  • Copyright infringement
  • Double-licensing
  • Violation of the non-compete

16. Effect of Termination

Upon termination:

  • Lexazone’s license to your Work ends
  • Earned but unpaid revenue remains payable
  • Sections on indemnification, limitation of liability, offsets, and governing law survive

17. Limitation of Liability

To the maximum extent permitted by law:

  • Lexazone’s total liability to you shall not exceed the amount paid to you in the preceding 12 months
  • Lexazone is not liable for indirect, incidental, consequential, or punitive damages

18. Accounting and Audits

Lexazone maintains revenue records.

You may audit records once per year with reasonable notice and at your expense.

19. Confidentiality

You agree not to disclose non-public business, financial, or technical information about Lexazone.

20. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [State].

Disputes shall be resolved by binding arbitration, and class actions are waived.

21. Independent Contractors

Nothing creates a partnership, joint venture, or employment relationship.

22. Changes to These Terms

We may update these Terms. Continued use of the Platform constitutes acceptance of the updated Terms.
